By purchasing, accessing, or using any product or service offered by Ichi’s Trading Place LLC (“Company,” “we,” “us,” or “our”), you (“Customer,” “you,” or “your”) agree to be bound by these Terms and Conditions (“Terms”). Please read them carefully before completing any purchase. If you do not agree, do not purchase or use our products.

1. Educational Purpose Only

All indicators, tools, content, signals, and materials provided by Ichi’s Trading Place LLC are intended solely for educational and informational purposes. Nothing on our website, platform, or in our products constitutes financial advice, investment advice, trading advice, or any recommendation to buy or sell any security, cryptocurrency, futures contract, or other financial instrument. You are solely responsible for your own trading decisions.

2. No Guarantees of Performance

Trading and investing involve substantial risk of loss. Past performance of any indicator or strategy is not indicative of future results. We make no representation, warranty, or guarantee — express or implied — that use of our products will result in profits or will not result in losses. You acknowledge that you may lose some or all of your capital.

3. License to Use

Upon receipt of cleared payment, Ichi’s Trading Place LLC grants you a limited, personal, non-exclusive, non-transferable license to access and use the purchased indicator(s) for your own personal trading purposes only. This license does not transfer any ownership rights. You may not sublicense, resell, redistribute, share, copy, reverse-engineer, or otherwise transfer access to any third party. Any violation of this provision will result in immediate termination of your access without refund.

4. Free Trials

We offer a free 7-day trial of our indicator(s) at our sole discretion. Free trials are limited to one per person and one per TradingView account. Trial access is provided as-is with no guarantees. We reserve the right to deny, limit, or revoke trial access at any time without notice. Upon expiration of the trial period, access will be automatically removed unless a paid subscription is purchased.

5. Payments and Pricing

All prices are listed in United States Dollars (USD). Payment is due in full at the time of purchase. We reserve the right to modify pricing at any time. Price changes will not affect active subscription periods already paid for. We accept payment through the methods listed on our website at the time of checkout.

6. No Refund Policy

All sales are final. We do not offer refunds, exchanges, or credits for any reason, including but not limited to: dissatisfaction with the product, change of mind, inability to use the product, or unfavorable trading results. Because our products are digital goods that are delivered and accessible immediately upon purchase, all transactions are non-refundable. We strongly encourage all customers to take advantage of our free 7-day trial before making a purchase.

7. Chargebacks and Disputes

By completing a purchase, you agree to contact us directly at Info@ichistradingplace.com before initiating any chargeback or payment dispute with your bank or payment provider. We will make reasonable efforts to resolve any billing concerns within 5 business days. Initiating a chargeback without first contacting us is a violation of these Terms. In the event of a chargeback or dispute, we reserve the right to immediately and permanently revoke your access to all products and services, provide transaction records and evidence of delivery to the payment processor, and pursue recovery of funds and associated fees through available legal means. Fraudulent chargebacks may be reported to appropriate authorities.

8. Subscription Terms and Cancellation

Monthly and yearly subscriptions grant access for the applicable period from the date of purchase. Subscriptions do not auto-renew unless explicitly stated at checkout. Access expires at the end of the subscription period. To continue access, a new subscription must be purchased. We do not offer prorated refunds for unused portions of a subscription period.

9. Termination of Access

We reserve the right to suspend or permanently revoke your access to our products at any time, without notice or refund, if you violate any provision of these Terms, attempt to circumvent our licensing or access controls, engage in fraudulent activity, or act in a manner harmful to the Company or other users.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Ichi’s Trading Place LLC, its owners, members, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use our products, including but not limited to trading losses, loss of profits, loss of data, or business interruption. Our total liability to you for any claim arising under these Terms shall not exceed the amount you paid to us in the 30 days preceding the claim.

11. Intellectual Property

All content, indicators, code, graphics, branding, and materials associated with Ichi’s Trading Place LLC are the exclusive intellectual property of the Company and are protected by applicable copyright and intellectual property laws. Unauthorized reproduction or distribution is strictly prohibited.

12. Privacy

By purchasing from us, you consent to us collecting and using your name, email address, and TradingView username solely for the purpose of delivering and managing your access to our products. We do not sell or share your personal information with third parties except as required to process payments or comply with legal obligations.

13. Modifications to Terms

We reserve the right to update or modify these Terms at any time. Continued use of our products after any such changes constitutes your acceptance of the updated Terms. We will post the effective date of the most recent version at the top of this document.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Colorado, USA, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or your use of our products shall be resolved exclusively in the state or federal courts located in Colorado. You consent to personal jurisdiction in such courts.

15. Entire Agreement

These Terms constitute the entire agreement between you and Ichi’s Trading Place LLC with respect to your use of our products and supersede all prior agreements, representations, or understandings.
